The In-House Counsel role provides foundational legal support across the bank's traditional and fintech businesses, focusing on legal research, contract review, and supporting day-to-day legal workflows.
Responsibilities
- Assist with initial review of commercial, vendor, and technology contracts
- Draft basic contract language, amendments, and templates under supervision
- Identify and escalate potential legal or business risks to senior attorneys
- Support contract administration tasks, including tracking, routing, and maintaining documentation
- Help prepare summaries, checklists, and comparison charts for contract terms
- Conduct legal research on banking, fintech, privacy, compliance, and commercial matters
- Prepare research memos, issue summaries, and recommendations for senior attorney review
- Assist with monitoring changes in laws and regulations relevant to banking and fintech
- Support external attorneys on regulatory questions by gathering documents, drafting outlines, and preparing briefing materials
- Provide first-level issue spotting on operational or partnership matters, escalating concerns appropriately
- Assist cross-functional teams by gathering details, coordinating information, and preparing legal summaries
- Help review internal policies and procedures by checking for alignment with legal requirements under external attorney guidance
- Assist with preparing Board and committee materials, including first drafts and proofreading
- Help maintain corporate governance documents, organizational charts, and recordkeeping
- Participate in Board meetings primarily as a note-taker or observer
- Assist with gathering data and preparing initial drafts for governance disclosures and required filings
- Support administrative aspects of stock issuance, transfers, and documentation
- Maintain accurate corporate logs, shareholder records, and regulatory documentation
Skills
- Strong analytical skills with the ability to interpret complex legal, contractual, and regulatory issues
- Excellent legal research and writing skills with strong attention to detail
- Strong contract negotiation skills with the ability to understand both legal and financial implications of terms
- Effective interpersonal, communication, and presentation skills; able to convey legal concepts clearly to non‑legal stakeholders
- Ability to build and maintain strong working relationships across teams and with leaders at all levels
- Demonstrated ability to prioritize, manage multiple tasks, and meet deadlines in a fast‑paced environment
- Comfort learning new technologies, contract management tools, and legal systems; experience with CLM tools (e.g., Agiloft) preferred
- Curiosity and willingness to learn areas such as corporate governance, banking regulations, fintech partnerships, and commercial transactions
- Juris Doctor (J.D.) from an ABA‑accredited law school
- Active member in good standing with the Washington State Bar (or ability to obtain Washington in‑house counsel registration promptly upon hire)
- 0–3 years of legal experience in corporate law, banking/financial services, fintech, commercial transactions, or related practice areas
- Experience drafting or negotiating commercial or technology contracts
- Experience supporting corporate governance, Board/committee operations, or regulatory filings
