Overview: The Senior Corporate Paralegal is responsible for proactively supporting the Legal and Compliance Department, various corporate functions, and enterprise business units on a wide range of legal matters. This role is also responsible for preparing and reviewing legal agreements and templates, assisting with contract negotiations, tracking and managing contracts and terms, and providing legal and regulatory guidance. The incumbent also directly supports attorneys with preparing, filing and maintaining legal documents, interfacing with internal clients, tracking important dates and deadlines and managing contracts.
Duties and Responsibilities:
- Draft and review standard corporate and commercial documents for attorney review including, but not limited to:master service agreements, non-disclosure agreements, statements of work, amendments, vendor contracts, and contract extensions.
- Monitor Legal Department electronic mailbox; track incoming/outgoing correspondence and issue status; notify appropriate partiesas needed.
- Assure that contracts and related documents are properly labeled, organized, and stored in web-based document repository.
- Assistwith management of litigation matters, including subpoena requests.
- Review legal correspondence and respond to internal customers’ inquiries regarding such matters.
- Assistwith the management and implementation of corporate, privacy, enterprise risk, and other audit and compliance initiatives.
- Analyze contract trends; draft and review contract terms and conditions with customers, vendors, and other third parties to ensure contract language conformity to legal specifications and internal policies.
- Conduct legal and topical research and monitorrelevant regulatory developments.
- Lead annual report filings for ComplexCare Solutions(CCS) and its affiliates.
- Assistwith management of litigation matters, employment investigations, corporate maintenance and employment investigations.
- Research, draft, and make recommendations regardingthe design and implementation of policies and procedures intended to address various legal requirements.
- Prepare draft legal correspondence and memos as needed.
- Organize and maintaindocuments in an electronic filing system.
- Maintain compliance with CCS’s policies, proceduresand mission statement.
- Adhere to all confidentiality and HIPAA requirements as outlined within CCS’s Operating Policies and Procedures in all ways and at all timeswith respect to any aspect of the data handled or services rendered in the undertaking of the position.
- Fulfill those responsibilities and/or duties that may be reasonably provided by CCS for the purpose of achieving operational and financial success of the company.
- Job Requirements:
- Minimum seven (7) years’ experience as a legal assistant, paralegal or equivalent.
- Minimum five (5) years’ experience drafting and negotiating moderate to complex commercial contracts.
- Experience negotiating non-disclosure agreements and other corporate documentation based on standard templates.
- Experience with healthcare-related contracts preferred.
- Ability to identifybusiness and legal risks and make informed decisions as to the impact of those risks.
- Strong writing and editing skills.
- A self-starter who is detail oriented and able to work independently in a fast-paced and dynamic work environment with minimal supervision.
- Ability to manage fast-paced work environmentand high-volume workload and simultaneously add value to multiple projects.
- Possess strong organizational, accuracyand attention to detail, project management, and multi-tasking skills.
- Effective verbal and written communication skills.
- Ability to deal with sensitive, confidential, and detailed material in a professional manner.
- Proficient Microsoft Office Suite.
- Travel for this position will include less than 5% locally usuallyfor training purposes
- Education:
- Bachelor’s degree required.
- Paralegal certificate a plus.
